License Agreement

This License Agreement (“Agreement”) governs your access to and use of Qaimera’s platform, software, tools, and services available at ai.qaimera.com. By accessing or using our platform, you agree to be bound by the terms of this Agreement.

1. Grant of license

Subject to the terms of this agreement and payment of applicable fees, Qaimera grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our platform solely for your internal business purposes.

This license includes the right to:

• Access and use Qaimera’s AI-powered investment tools and platform
• View and utilize AI-generated data, scores, and reports
• Integrate our tools into your existing investment workflows
• Generate portfolio analysis and reporting for internal use
• Access quantitative indices and investment strategies as per your subscription plan

2. License types

Individual license

An Individual license grants a single user access to Qaimera’s platform and tools. This license is non-transferable and may not be shared with other users or organisations.

Company license

A Company license grants access to multiple users within a single organisation. The number of authorised users is defined by the subscription plan. Company licenses include additional features such as team collaboration, shared workflows, and enterprise-level support.

Enterprise license

An Enterprise license is a custom arrangement for large financial institutions and organisations requiring advanced integrations, dedicated support, and custom AI solutions. Please contact us for enterprise pricing and details.

3. License restrictions

You may not, under any circumstances:

• Resell, sublicense, or redistribute our platform, tools, or data to any third party
• Copy, modify, or create derivative works of our AI models or algorithms
• Reverse engineer, decompile, or disassemble any part of our platform
• Share your account credentials or license with unauthorized users
• Use our platform for any unlawful, fraudulent, or unauthorized purpose
• Remove, alter, or obscure any proprietary notices, labels, or branding
• Use our platform to build a competing product or service

4. Intellectual property

All intellectual property rights in and to our platform, software, AI models, algorithms, data, and content — including but not limited to patents, copyrights, trademarks, and trade secrets — are and shall remain the exclusive property of Qaimera. This agreement does not grant you any ownership rights in our platform or intellectual property.

5. Subscription & fees

Access to Qaimera’s platform requires a valid subscription. By subscribing you agree that:

• All fees are due in advance and are non-refundable unless otherwise stated
• Qaimera reserves the right to change pricing with prior notice
• Failure to pay may result in suspension or termination of your license
• You are responsible for all applicable taxes related to your subscription

6. Term & termination

This agreement is effective from the date you first access our platform and continues until terminated. Qaimera reserves the right to suspend or terminate your license at any time if you:

• Violate any terms of this agreement
• Fail to pay applicable subscription fees
• Engage in any fraudulent or unlawful activity
• Use the platform in a way that harms other users or Qaimera

Upon termination, your right to access and use our platform will immediately cease and you must destroy any copies of our materials in your possession.

7. Warranty disclaimer

Our platform and tools are provided on an “as is” and “as available” basis. Qaimera makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of any data, AI outputs, or investment information provided through our platform. Use of our platform is at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Qaimera shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our platform. Our total liability under this Agreement shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Governing law

This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in the United States.
